1. Acceptance
By accessing or using OVirtual, you agree to these Terms. If you're using OVirtual on behalf of an organization, you represent that you have authority to bind it.
2. Accounts
You must provide accurate information, keep credentials secure, and notify us of unauthorized access. You're responsible for activity on your workspace.
3. Subscriptions & billing
Plans renew automatically until canceled. Fees are non-refundable except where required by law. We may adjust prices with 30 days' notice taking effect on your next renewal.
4. Free trial
New workspaces get a 7-day trial with no credit card required. We don't auto-charge after the trial — your workspace becomes read-only until you pick a plan.
5. Acceptable use
You may not use the Services to break the law, infringe rights, distribute malware, harass, send spam, or attempt to disrupt the platform. See our Fair Usage Policy.
6. Telecom & messaging compliance
You're responsible for compliance with TCPA (US), CASL (Canada), 10DLC registration, and all applicable telecom regulations. Obtain consent before contacting recipients and honor opt-outs.
7. Your content
You retain ownership of content you upload. You grant OVirtual a limited license to host, transmit, and display it solely to operate the Services for you.
8. Intellectual property
OVirtual and its trademarks, design, and software are owned by OVirtual Inc. and protected by intellectual property law. We grant you a non-exclusive, non-transferable right to use them.
9. Third-party services
Integrations with QuickBooks, Stripe, Google, and others are governed by their own terms. We aren't responsible for third-party services.
10. Disclaimers
The Services are provided "as is" without warranties of any kind, except as required by law. We don't guarantee the Services will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, OVirtual's aggregate liability is limited to the fees you paid in the 12 months preceding the claim. We're not liable for indirect, incidental, or consequential damages.
12. Indemnification
You'll defend and indemnify OVirtual against claims arising from your content, your use of the Services, or your violation of these Terms.
13. Term & termination
You may cancel at any time. We may suspend or terminate for material breach with notice. On termination, you can export your data for 30 days.
14. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada. Disputes will be resolved in the courts of Toronto.
15. Changes
We may update these Terms with at least 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
